Richard Ruger is a senior partner in the transactions group. He represents business entities from emerging companies to multinational companies, private as well as publicly held corporations, and domestic as well as foreign entities. His clients include high-tech companies, manufacturers, wholesalers, exporters, importers, distributors, licensors, licensees, franchisors and investors in securities and real estate.

Mr. Ruger acts as counsel to emerging high-tech companies in their corporate matters that include private equity financing, equity incentive plans, intellectual property protection planning, strategic alliances, executive compensation and other complex corporate issues for such companies. In the securities area, Mr. Ruger renders legal services in connection with private offerings, such as preparing private placement memoranda, subscription agreements and other related corporate documents. He also counsels his clients in corporate governance, including developing corporate policies and guiding officers, directors and shareholders. Mr. Ruger has substantial expertise in mergers, stock or asset acquisitions and dispositions, and joint ventures. In addition to his corporate work, Mr. Ruger has substantial experience in real estate acquisition and disposition, leasing and other real property transactions.

Examples of recent transactions Mr. Ruger has handled include:

• Representation of a publicly traded Korean corporation in connection with its acquisition of a processed food manufacturing company in the United States.

• Representation of a publicly traded foreign corporation in its participation in a three-party joint venture in the United States with two of the largest steel manufacturers in the world to produce high quality steel products.

• Assisting a worldwide beverage manufacturer in its acquisition of a major manufacturing facility.

• Representation of the majority shareholder in buying out minority shareholders and concurrently selling substantially all of the assets of the company to an institutional investor.

• Representation of a high-tech start-up company in connection with equity financing, technology licensing, equity incentive plan and employment matters.
