Justin Chang is a litigation partner in the San Francisco office. Mr. Chang has over a decade of experience representing private and public multinational corporations, as well as shareholders, officers, directors, and employees in complex litigation, arbitrations, and in connection with internal and regulatory investigations. Following his clerkship with a federal district court judge in Philadelphia, Mr. Chang practiced with the global law firm of Shearman & Sterling.

During his career, Mr. Chang has represented and advised clients in all aspects of litigation, including through jury trial, prepared antitrust and anti-corruption compliance programs for multinational clients, and represented clients in connection with SEC, DOJ, Department of Labor, and internal investigations. Mr. Chang also spent over 2 months in the legal department of a multinational Korean conglomerate advising on foreign litigation in the United States and Canada as well as antitrust compliance and licensing issues.

Representative matters include:

  • Represented an individual who was a shareholder, officer, and director of a privately-held corporation in state court action alleging fraud and breach of warranties in connection with $30 million sale of the corporation.
  • Represented 21 individuals in civil state action and federal bankruptcy proceedings seeking to recover unpaid wages and monies fraudulently misappropriated by former executives of employer.
  • Represented numerous individuals and a Special Committee of the Board in internal and government investigations, and derivative and class actions related to options backdating at various companies.
  • Represented various investment banks and publicly-traded issuers in shareholder merger litigation seeking to block shareholder approval based on allegedly inadequate disclosures concerning the mergers.
  • Designed and implemented a worldwide Foreign Corrupt Practices Act and anti-corruption compliance program for Nokia in connection with a multi-jurisdictional compliance review arising out of allegations of corruption involving Siemens AG, Nokia's joint venture partner in Nokia Siemens Networks.
  • Conducted an internal investigation at an advanced, international technology company concerning potential violations of a worldwide anti-corruption compliance program.
  • Represented leading global technology company in FINRA investigation into insider trading allegations presenting issues of European data protection laws.
  • Represented officers and employees of a multinational chemical company in connection with an investigation by the DOJ of antitrust violations involving hydroge peroxide and other chemicals.
  • Represented a former executive of a pharmaceutical company as a witness in connection with an investigation by the DOJ concerning off-label marketing of pharmaceuticals.
  • Represented multinational technology company in connection with an investigation by the Securities and Exchange Commission of alleged securities fraud.
  • Obtained favorable settlements for Ariba in international JAMS and AAA arbitrations against a Japanese company over a contract dispute concerning an investment in an Ariba subsidiary in Japan and in Korea.
  • Obtained favorable jury verdict for Ariba in a state court action presenting insider trading and Regulation FD issues.
